Terms & Conditions
These general terms and conditions apply to all offers, agreements, and services of Coated Surfaces, established in The Hague, registered with the Dutch Chamber of Commerce under number [to be filled in].
1. Definitions
- Contractor: Coated Surfaces
- Client: the natural or legal person entering into an agreement with the Contractor.
- Agreement: any arrangement between Client and Contractor for the performance of work.
2. Applicability
These terms apply to all quotations, offers, agreements, and deliveries of services or products by the Contractor. Deviations are only valid if agreed upon in writing.
3. Quotations and Offers
All quotations are non-binding and valid for 30 days from the quotation date, unless stated otherwise. The Contractor is not bound by obvious errors or omissions in quotations.
4. Performance of the Agreement
The Contractor shall perform the agreement to the best of its knowledge and ability in accordance with professional standards. The Client shall ensure that all information and conditions necessary for proper performance are provided in a timely manner.
5. Prices and Payment
All prices exclude VAT, unless stated otherwise. Payment is due within 14 days of the invoice date. In case of late payment, the Client is automatically in default and a late payment interest of 2% per month is owed.
6. Warranty
The Contractor warrants that the delivered work meets the usual requirements and standards that can reasonably be set at the time of delivery. The warranty period is two years after completion, unless otherwise agreed.
7. Liability
The Contractor's liability is limited to the amount paid out by its liability insurance, or up to the invoice amount of the relevant assignment. The Contractor is not liable for indirect damage, consequential damage, or lost profits.
8. Force Majeure
In case of force majeure (including illness, extreme weather conditions, material supply issues, and government measures) the Contractor has the right to suspend performance or dissolve the agreement without being liable for damages.
9. Complaints
Complaints about the performed work must be reported in writing to the Contractor within 14 days of discovery. Filing a complaint does not suspend the payment obligation.
10. Intellectual Property
All intellectual property rights to designs, images, and documentation remain with the Contractor, unless otherwise agreed in writing.
11. Applicable Law and Disputes
All agreements are governed by Dutch law. Disputes shall be submitted to the competent court in the district of The Hague.
